Terms of Service

Version 0.1 (draft) · 2026-11-06 · Computation Frontier Labs Pte. Ltd.

1. Who we are and what these terms cover

These Terms of Service ("Terms") are an agreement between Computation Frontier Labs Pte. Ltd., a company incorporated in Singapore ("TokenToken", "we", "us"), and the person or entity that opens an account or signs an order form ("Customer", "you").

They cover our inference API, our console, our documentation, and dedicated compute supplied under an order form (together, the "Services"). Where an order form, data processing agreement or other signed document conflicts with these Terms, that document prevails for its subject matter.

By creating an account, using an API key, or signing an order form, you accept these Terms. If you accept them on behalf of an organisation, you confirm you are authorised to bind it.

2. Accounts, keys and your users

You must provide accurate account information and keep it current. You are responsible for everything that happens under your account and your API keys, including actions taken by your personnel, your software and any autonomous agent you operate.

API keys are secrets. We show a key once at creation and store only a hash of it. Keep keys out of client-side code and public repositories. Rotate or revoke a key in the console if it may have been exposed; revocation takes effect immediately.

You must be at least 18 years old and legally able to enter into a contract. Accounts may not be shared, resold or transferred without our written consent.

3. The services

We provide access to machine-learning models over an HTTP API, and optionally dedicated GPU capacity. Each model in our catalogue is labelled with its source — self-hosted on hardware we operate, a vendor's own API, a cloud provider, or a licensed third party. Model availability changes; we may add, deprecate or remove a model, and will give reasonable notice before removing one you are actively using.

We may apply technical limits — requests per minute, tokens per minute, concurrency, maximum output length and maximum context — and may change them to protect the Services. Current limits are shown in the console and returned by the API.

4. Credits, prices and the rate

Usage of the inference API is prepaid. You purchase credits; we deduct them as you consume tokens or other billable units at the prices published at tokentoken.ai/pricing.

Published prices are a base price multiplied by a rate, a single published multiplier. We may change base prices or the rate. A change applies only to usage after it takes effect, and we record the rate version used for every request so your statement can be reconciled. We will give at least 14 days' notice of an increase that affects a model you are actively using, by email and in the console.

When a request arrives we hold an estimated amount against your balance and reconcile it against actual usage when the request completes. You are charged for the attempt that succeeded; routing retries and failover are not charged to you. A cached prefix is charged at the cache-read price. If your balance is insufficient, the request is refused before it is sent upstream.

Credits do not expire. Credits are not a deposit, bear no interest, and are not refundable except as stated in section 5 or as required by law.

5. Payment, taxes and invoices

Card, Alipay and WeChat Pay payments are processed by our payment processor; we do not receive or store your full card details. Payments above the threshold shown at checkout, and all amounts under an order form, are settled by bank transfer.

Prices are stated exclusive of tax. You are responsible for any goods and services tax, value added tax, withholding tax or similar charge, except taxes on our net income. Where we are required to collect tax we will add it at checkout or on the invoice. Give us accurate billing and tax information; you are responsible for charges arising from information that is wrong.

Unused credits may be refunded at our discretion within 30 days of purchase, less any amount already consumed and any payment-processing cost. We do not refund consumed usage. Amounts invoiced under an order form are due within the stated period; overdue amounts may accrue interest at 1.5% per month and may lead to suspension under section 16.

6. Dedicated compute

Dedicated GPU capacity is supplied under an order form that states the hardware, quantity, region, term, price, and what is included. Unless the order form says otherwise: the minimum term is one month; power and bandwidth are included; and the capacity is reserved for your exclusive use for the term.

Delivery dates are targets that depend on hardware availability; where we cannot meet a date we will tell you promptly and you may cancel the affected line without penalty. Early termination by you does not create a refund of the remaining term unless the order form says so. Before delivery we may require entity verification and screening under section 17.

You are responsible for what you run on dedicated capacity, including software licences for anything you deploy, and for keeping it within section 7.

7. Acceptable use

Your use must comply with our Acceptable Use Policy, which forms part of these Terms. In short: do not break the law, do not use the Services to harm people, do not attack our infrastructure or other customers, and do not misrepresent where your model access comes from.

You are responsible for your own compliance obligations when you deploy our output in a regulated context, including any disclosure that content is AI-generated, and for any human review your use case requires.

8. Your content and your data

You keep all rights in what you send us and in what the models return to you ("Customer Content"). We claim no ownership of it.

You grant us a limited licence to process Customer Content solely to provide the Services — to route the request to the model you selected, return the response, meter it, and investigate an incident where you have asked us to. Nothing else.

We do not store prompts or model outputs by default, and we never use Customer Content to train or improve any model. Debug capture is off unless you turn it on for a specific key, and it expires automatically. Billing and routing metadata is retained as described in the Privacy Policy.

You are responsible for having the rights and, where applicable, the consents needed to send us the content you send, including personal data. Where we process personal data on your behalf, the Privacy Policy and our data processing agreement apply.

9. Our intellectual property

We and our licensors own the Services, including our software, documentation, console and brand. These Terms grant you no right in them except the right to use the Services during the term. You may not copy, reverse engineer, resell or create a derivative of the Services, except as permitted by law or by an open-source licence that applies to a specific component.

You may say publicly that you use TokenToken. Any other use of our name or marks needs our written consent.

10. Third-party models and upstream providers

Some models are operated by third parties. Where a route is labelled as a vendor API, a cloud provider or a licensed third party, that provider's own terms and data handling also apply to traffic on that route, and we disclose the label in the catalogue so you can choose. We are not responsible for a third-party provider's output, availability or retention practices, and a third-party model's licence may restrict what you may do with its output.

Open-weight models we self-host are subject to their own weight licences. Where a licence imposes conditions on you — attribution, naming or use restrictions — we publish them with the model profile.

11. Service levels and support

Self-serve accounts are provided without a service level commitment. Support is by email at support@cflabs.ai, best effort during Singapore business hours. Service levels, response times and on-call escalation are available under an order form.

We may perform maintenance that briefly interrupts the Services, and will give notice where it is planned and material.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and contractors who need it and are bound by similar obligations. This does not apply to information that is public, independently developed, or lawfully received from a third party, and does not prevent a disclosure required by law — where we are compelled to disclose your information we will tell you unless prohibited.

13. Warranties and disclaimers

Each party warrants that it has the authority to enter into these Terms. We warrant that we will provide the Services with reasonable skill and care.

Otherwise the Services are provided "as is". Model output is probabilistic: it may be wrong, offensive, or unsuitable for your purpose, and it is not professional advice. Do not rely on model output for medical, legal, financial or safety-critical decisions without competent human review. We do not warrant that the Services will be uninterrupted or error-free, or that output will be accurate, complete, non-infringing or fit for a particular purpose. To the extent permitted by law we disclaim all other warranties, express or implied.

14. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused.

Each party's total liability arising out of these Terms is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or USD 1,000. These limits do not apply to your obligation to pay amounts due, to either party's liability for death or personal injury caused by negligence, for fraud, or to any liability that cannot be limited under Singapore law.

15. Indemnity

You will defend and indemnify us against third-party claims arising from your use of the Services in breach of these Terms or the Acceptable Use Policy, from Customer Content, or from your deployment of model output. We will tell you promptly of any such claim, let you control the defence of it, and cooperate at your expense.

16. Suspension and termination

You may stop using the Services and close your account at any time. Closing an account does not refund consumed usage, and does not end an order form before its term.

We may suspend or limit the Services without notice where we reasonably believe it is necessary to stop a security incident, a violation of the Acceptable Use Policy, a legal risk, or non-payment. Where we suspend for a reason you can cure, we will tell you what to do and restore access once it is cured. We may terminate for material breach that is not cured within 14 days of notice.

On termination your right to use the Services ends; sections 5, 8, 9, 12, 13, 14, 15, 19 and 20 survive. We will delete or return your data as described in the Privacy Policy.

17. Export control and sanctions

You represent that you are not located in, organised under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, that you are not a sanctioned party, and that you will not provide access to the Services to any such party. You will not use the Services, and will not permit dedicated compute to be used, in breach of any applicable export control, sanctions or technology-transfer law. We may screen you and your intended use before delivering dedicated compute, and may refuse or stop delivery on that basis.

18. Changes to these terms

We may update these Terms. For a change that materially reduces your rights we will give at least 30 days' notice by email and in the console; your continued use after it takes effect is acceptance. Price and rate changes follow section 4.

19. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The parties will first try in good faith to resolve a dispute by discussion. Failing that, the dispute will be referred to and finally resolved by arbitration in Singapore administered by the Singapore International Arbitration Centre under its rules then in force, before one arbitrator, in English. Either party may seek injunctive relief from a court to protect its intellectual property or confidential information.

20. General

These Terms, together with any order form, the Acceptable Use Policy and the Privacy Policy, are the entire agreement between us on their subject matter. Neither party may assign them without the other's consent, except to a successor of its business. If a provision is unenforceable, the rest stands. A delay in enforcing a right is not a waiver of it. There are no third-party beneficiaries. Notices to us go to legal@cflabs.ai; notices to you go to your account's email address.
